Resumo

This commentary analyses the recent judgment of the Juzgado de lo Mercantil of Pontevedra from 14th June 2019, which focuses on the right of separation in the hands of the minority partner based on the abuse of the majority. Moreover, the judgment is relevant because of its deep study of the challenging of negative agreements and de facto actions of the society. Regarding these topics, the different theories about the interest of the company are studied: contract and institutional ones. The possibilities of action of the judge or court related to the agreements that express the will of the company are also reviewed
